Job Description

SECP is seeking a highly motivated individual to join our Mergers & Restructuring Department. As a Mergers & Restructuring Officer, you will play a pivotal role in overseeing mergers, acquisitions, and corporate restructuring activities in Pakistan’s capital markets. You will be responsible for evaluating merger proposals, conducting due diligence, and ensuring compliance with regulatory requirements. Additionally, you will collaborate with internal and external stakeholders to facilitate smooth transaction processes and contribute to the development of policies and regulations governing mergers and restructuring activities.

Main Responsibilities

  • Evaluate merger and acquisition proposals submitted to the SECP, ensuring compliance with regulatory guidelines and industry best practices.
  • Conduct comprehensive due diligence on companies involved in merger transactions, assessing financial statements, legal documents, and other relevant information.
  • Analyze potential risks and benefits associated with proposed mergers and restructuring activities, providing recommendations to senior management.
  • Liaise with internal departments, external advisors, and regulatory authorities to facilitate the approval process for merger transactions.
  • Monitor post-merger integration processes, ensuring seamless transition and compliance with regulatory requirements.
  • Contribute to the development of policies, guidelines, and regulations governing mergers, acquisitions, and corporate restructuring activities in Pakistan.

Job Requirements

  • Bachelor’s or Master’s degree in Finance, Business Administration, Law, or a related field.
  • Minimum of 3 years of experience in mergers and acquisitions, corporate finance, investment banking, or a related field.
  • Strong understanding of corporate finance principles, financial analysis techniques, and regulatory frameworks governing mergers and acquisitions.
  • Excellent analytical skills with the ability to evaluate complex financial data and identify key insights.
  • Proficiency in Microsoft Office suite (Word, Excel, PowerPoint) and financial modeling software.
  • Excellent communication and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.
  • Detail-oriented with strong organizational and time management skills, capable of managing multiple projects simultaneously.
  • Ability to work independently with minimal supervision and thrive in a fast-paced, dynamic environment.
